Equally important is to ascertain the rights of occupancy to any associated office from which the business may be operated and also the terms of the engagement authorities held from client landlords of the business. When selling a business, advice should be sought before entering any contract for sale to ensure the terms are in order and that the contract is properly structured particularly in relation to GST. It is possible in some cases legally to structure certain contracts in a way which GST is excluded. If successful, your purchaser may be able to acquire the business without having to fund any GST component.
